Terms and Conditions

These Terms and Conditions govern your use of www.blacktulipstudio.com and any purchase made through it.

Registered trade marks: 'Black Tulip' and 'Black Tulip Studio' are registered trade marks of Black Tulip Retail Ltd (UK IPO).

1. Who We Are

www.blacktulipstudio.com ('the Site') is operated by Black Tulip Retail Ltd ('Black Tulip', 'we', 'our', 'us'), a company incorporated in England and Wales.

2. Acceptance of These Terms

By accessing or using the Site, you agree to be bound by these Terms and Conditions ('Terms'). If you do not agree, please do not use the Site or place an order.

These Terms apply to all users of the Site. Customers should also read our Privacy Policy, which is incorporated into these Terms by reference.

We may revise these Terms. Material changes will be communicated to registered customers by email before they take effect. Your continued use of the Site after any revision constitutes acceptance of the updated Terms.

3. Use of the Site

The Site is for your personal, non-commercial use only. You must not:

  • Use the Site for any unlawful purpose or in breach of any applicable local, national, or international law
  • Reproduce, copy, republish, download, store, transmit, or distribute any content from the Site without our prior written consent, except as permitted by law
  • Attempt to gain unauthorised access to any part of the Site, its servers, or connected systems
  • Impersonate any other person or entity, or provide false registration information

4. Registration and Account

If you register an account, you warrant that all information you provide is true, accurate, current, and complete; that you will keep your password confidential; and that you will notify us immediately at customercare@blacktulipstudio.com if you suspect unauthorised use. You are responsible for all activity under your account.

5. Contract Formation and Orders

Your order is an offer to purchase from Black Tulip Retail Ltd. Our acceptance forms the contract:

  • Order acknowledgement email: automated confirmation that we have received your order. This is not acceptance.
  • Dispatch Confirmation email: our acceptance of your order. The contract ('the Contract') is formed when we send this email.

We reserve the right to decline any order before the Dispatch Confirmation is sent – for example, where a product is unavailable, where there is a pricing error, or where payment has not been authorised. If we decline your order we will notify you promptly and issue a full refund.

Once a Dispatch Confirmation has been sent, we may not cancel the Contract except as provided in Sections 10 and 11, or by mutual agreement.

6. Product Descriptions and Availability

All products are subject to availability. We take reasonable care to ensure descriptions and images are accurate, but:

  • Product images are for illustrative purposes only. Colours may vary between screens. We cannot guarantee colour accuracy.
  • If a product you have ordered becomes unavailable after your order is accepted, we will contact you promptly. You may choose a full refund, an alternative product of equivalent value, or a pre-order for when the product is available.

7. Pricing and VAT

All prices are displayed in Pounds Sterling (£). Our VAT Registration Number is 443557876.

7.1 UK customers

All prices displayed on the Site for UK customers are inclusive of UK VAT at the prevailing rate (currently 20%), where applicable.

7.2 EU and international customers

Prices displayed on the Site are in Pounds Sterling and are exclusive of any applicable import VAT, customs duties, or other taxes and charges payable in your destination country. By placing an order, you acknowledge and agree that:

  • You are responsible for paying all import duties, customs fees, local VAT, and any other charges levied by your country's customs authority upon importation of the goods
  • Black Tulip Retail Ltd has no control over, and accepts no responsibility for, any such charges
  • These charges are in addition to the price you paid on our Site and any delivery charges
  • We cannot predict the exact amount of import charges applicable in your country. We recommend you contact your local customs authority for guidance before placing your order
  • Refusal to pay import duties resulting in the goods being returned to us may result in the cost of return shipping being deducted from your refund
IMPORTANT FOR EU CUSTOMERS: Since the UK left the EU, goods shipped from the UK to EU destinations are treated as imports. EU import VAT and customs duties may apply depending on the order value and destination country. These are not collected by Black Tulip at checkout. Your carrier or customs authority will contact you to pay these charges upon arrival.

We reserve the right to change prices at any time, but price changes will not affect orders for which we have already sent a Dispatch Confirmation.

8. Payment

We accept payment by Visa, Mastercard, American Express, Maestro, Shopify Pay, and Klarna (buy now, pay later).

Payment is processed securely by Shopify Payments (Shopify Inc.) or Klarna Bank AB (UK branch). Full payment card details are encrypted and are not stored by us.

Payment is taken at the time your order is placed.

All transactions are processed in Pounds Sterling (£). Any currency conversion is handled by your payment provider at their exchange rate. We accept no responsibility for additional costs arising from currency conversion.

9. Promotions and Discount Codes

  • Promotions are valid only on www.blacktulipstudio.com and subject to stock availability
  • Promotions are not applicable to items already in the sale, unless explicitly stated
  • Discount codes must be applied at checkout and cannot be applied retrospectively
  • Only one discount code may be used per order
  • Promotions may be withdrawn at any time at our discretion, subject to any stated closing date and your statutory rights
  • Unauthorised use of discount codes may result in order cancellation

10. Delivery

Full delivery terms are on our Delivery Information page. Key terms:

  • Delivery timescales are estimates and may be affected by factors beyond our control, including customs processing for international orders
  • Risk in the goods passes to you on delivery to your nominated address
  • For international orders, customs clearance may cause delays. We do not accept liability for delays caused by customs processing.
  • If we cannot deliver within the estimated timescale, we will notify you and offer a revised date or a full refund
  • Pre-orders: the anticipated dispatch date will be stated on the product page and we will notify you of any changes

11. Your Statutory Rights – Returns, Cancellation, and Refunds

Nothing in these Terms affects your statutory rights as a consumer. Your rights under the Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 apply to all UK purchases. EU customers have equivalent rights under the EU Consumer Rights Directive 2011/83/EU and their national implementing legislation.

11.1 Statutory 14-day right to cancel (Consumer Contracts Regulations 2013 / EU Consumer Rights Directive)

As a consumer purchasing goods by distance contract (online), you have the right to cancel your order without giving any reason within 14 calendar days of the day on which you receive the goods. This right is provided by Regulation 29 of the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 (UK customers) and Article 9 of EU Directive 2011/83/EU (EU customers).

To exercise this right, notify us before the 14-day period expires by:

Where you exercise your statutory right to cancel:

  • UK customers: you are responsible for the cost of returning the goods. Our standard commercial free returns service does not apply to statutory CCR cancellations.
  • EU customers: you are also responsible for the cost of returning goods unless we have failed to inform you of this requirement before the contract was concluded, in which case we bear the return cost (Article 14(2) EU Directive 2011/83/EU).
  • You must return the goods without undue delay and in any event within 14 days of notifying us of your cancellation
  • We will refund the price of the goods plus standard delivery costs (if you paid for delivery) within 14 calendar days of: (a) receiving the returned goods; or (b) you providing evidence of return, whichever is earlier (Regulation 34 CCR 2013 / Article 13 EU Directive 2011/83/EU)
  • If you selected premium or express delivery, we will only refund the cost of the cheapest standard option we offered
  • We will use the same payment method you used to place the order, unless you expressly agree otherwise
  • We may deduct from your refund for any diminishment in value resulting from handling beyond what is necessary to establish the goods' nature, characteristics, and functioning (Regulation 34(9) CCR 2013 / Article 14(2) EU Directive 2011/83/EU)

You are responsible for the goods until we receive them. We recommend a tracked and insured delivery service for your return.

11.2 Our standard commercial returns policy

In addition to your statutory 14-day cancellation right, we offer an extended commercial returns window of 28 calendar days from the date of delivery:

  • Items must be returned in their original, unworn condition with all original packaging
  • Returns within our standard 28-day commercial window are collected free of charge via our returns portal (https://blacktulipstudio.com/apps/return_prime)
  • Note: free collection applies to UK returns only. International customers wishing to use our commercial 28-day window are responsible for their own return postage.
  • We will process your refund or exchange within 14 calendar days of receiving the returned items

11.3 Cancellation before dispatch

To cancel before dispatch, email customercare@blacktulipstudio.com with your order number as soon as possible. If your order has already been dispatched, please use our Returns Process above.

11.4 Faulty or misdescribed goods – Consumer Rights Act 2015

Under the Consumer Rights Act 2015, goods must be of satisfactory quality (Section 9 CRA 2015), fit for purpose (Section 10 CRA 2015), and as described (Section 11 CRA 2015). If goods are faulty, not as described, or not fit for purpose:

  • Within the first 30 days of delivery: you are entitled to a full refund
  • After 30 days and within 6 months: we will attempt a repair or replacement first
  • After 6 months: you may still have a right to repair or replacement where you can demonstrate the fault existed at the time of delivery

Contact customercare@blacktulipstudio.com with your order number and a description of the fault. These statutory rights are in addition to, and do not limit, your right to cancel under Section 11.1 above.

EU customers have equivalent rights under their national consumer protection legislation implementing EU Directive 2019/771 on the sale of goods.

12. Intellectual Property

All content on this Site – including text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software – is the property of Black Tulip Retail Ltd or its licensors and is protected by the Copyright, Designs and Patents Act 1988 (UK) and equivalent international intellectual property laws.

'Black Tulip' and 'Black Tulip Studio' are registered trade marks of Black Tulip Retail Ltd (UK Intellectual Property Office). You must not use our registered trade marks, branding, or logos without our prior written consent.

You may access and view content on this Site for personal, non-commercial purposes only. Any other use – including reproduction, modification, distribution, transmission, republication, display, or performance – is strictly prohibited without our prior written consent.

13. User-Submitted Content

By submitting content to us (such as product reviews, competition entries, social media tags, or feedback), you grant Black Tulip Retail Ltd a non-exclusive, royalty-free, worldwide licence to use, reproduce, edit, publish, and distribute that content in connection with our business and marketing, in any media. You retain ownership of any copyright you hold in such content.

You warrant that any content you submit does not infringe any third party's intellectual property or other rights, and is not unlawful, offensive, defamatory, or otherwise objectionable. We reserve the right to remove or refuse to publish any submitted content at our discretion.

14. Third-Party Links and Tools

The Site may contain links to third-party websites. We do not control, and accept no responsibility for, the content of those sites or any loss arising from your use of them. Links do not constitute endorsement. Certain third-party tools accessible through the Site (for example, our returns portal) are subject to the terms of the relevant third party.

15. Our Liability

Nothing in these Terms limits or excludes our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any breach of the implied terms as to title under the Sale of Goods Act 1979
  • Any liability that cannot lawfully be excluded or limited under the Consumer Rights Act 2015 or any other applicable law

Subject to the above, and to the fullest extent permitted by applicable law, our total liability to you in contract, tort (including negligence), breach of statutory duty, or otherwise, arising in connection with these Terms or your use of the Site, will not exceed the total price paid by you for the product(s) to which the claim relates.

We will not be liable for any loss of profit, loss of business, business interruption, or loss of business opportunity. This limitation does not affect your statutory rights as a consumer.

16. WhatsApp Business Messaging

We operate a WhatsApp Business account. Where you have explicitly consented, we may send you marketing messages via WhatsApp.

  • Consent to WhatsApp marketing is entirely voluntary and is not a condition of purchase
  • Opt out at any time by replying STOP to any marketing message or emailing customercare@blacktulipstudio.com
  • Opting out will not affect transactional order messages relating to an existing order
  • Your data is processed by WATI and Meta Platforms as set out in our Privacy Policy

17. Competitions

  • Promoter: Black Tulip Retail Ltd, 1st Floor Kirkland House, 11–15 Peterborough Road, Harrow, Middlesex, HA1 2AX
  • Eligibility: Open to UK residents aged 18 or over, except employees of Black Tulip Retail Ltd, their close relatives, and anyone directly connected with the organisation or judging of the competition
  • No purchase necessary: There is no entry fee or purchase required to enter any competition
  • One entry per person: Multiple entries from the same person will be disqualified
  • Winner selection: Winners will be selected at random (or by judging, where stated) from all valid entries received before the closing date. Winners will be notified by direct message or email within 14 days of the closing date.
  • Prizes: Prizes cannot be exchanged for cash or any alternative. We may substitute a prize of equal or greater value if the stated prize becomes unavailable.
  • Unclaimed prizes: If a winner does not respond within 14 days of notification, we reserve the right to select an alternative winner.
  • Closing date: Stated in the specific competition post or page. Entries received after the closing date will not be accepted.
  • CAP Code: All competitions are conducted in accordance with the CAP Code (UK Code of Non-broadcast Advertising and Sales Promotion). Competitions run via Meta are additionally subject to Meta's Promotion Guidelines. Meta is not a sponsor of, or associated with, any Black Tulip competition.

18. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable for any reason, that provision will be deemed severable and will not affect the validity and enforceability of the remaining provisions.

19. Waiver

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing signed by an authorised representative of Black Tulip Retail Ltd.

20. Entire Agreement

These Terms, together with our Privacy Policy and any other policies posted on our Site, constitute the entire agreement between you and Black Tulip Retail Ltd relating to your use of the Site and any purchase. They supersede all prior agreements and understandings relating to the same subject matter.

21. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. You and we both agree to submit to the non-exclusive jurisdiction of the courts of England and Wales to resolve any dispute, without prejudice to your right as a consumer to bring proceedings in the courts of the country in which you reside.

EU customers: nothing in these Terms affects your right to rely on any mandatory provisions of consumer protection law applicable in your country of residence (including pursuant to Rome I Regulation (EC) No 593/2008 on the law applicable to contractual obligations). Where the law of your country provides you with greater consumer protection than English law, those more protective provisions will apply.

If we cannot resolve your complaint, you may refer your dispute to an Alternative Dispute Resolution (ADR) provider. We will supply details of an approved ADR scheme on request. UK customers have the right to contact Citizens Advice (www.citizensadvice.org.uk) or Trading Standards. EU customers may use the European Commission's Online Dispute Resolution (ODR) platform at https://ec.europa.eu/consumers/odr. Your statutory rights are not affected by our complaints process.
